Empowered Mama Expert Terms and Conditions

 

1. Introduction: These Terms and Conditions ("Terms") govern the relationship between the member ("You" or "Your") and the Empowered Mamas Platform, owned and operated by Railey Molinario ("We", "Us", or "Our"). By entering into this relationship, you agree to these Terms.

2. Term: The contract term commences upon your agreement and will remain in effect until December 31, 2028, unless otherwise terminated in accordance with these Terms.

3. Services: We shall feature Your business on Railey Molinario's website and social media accounts as part of the Empowered Mamas Platform's membership benefits.

4. Fees

   • The fee for membership in the Empowered Mamas Platform shall equal your initial payment amount.

   • This fee is payable monthly until canceled within a 30-day notice via email to railey@raileymolinario.com.

   • All payments are due in advance of the upcoming month's services.

   • Late or missed payments may result in the suspension of services.

5. No Refunds: All fees paid are non-refundable, regardless of your utilization of the services or any change in circumstances.

6. Non-Transferability: Membership benefits, rights, and obligations are specific to You and cannot be transferred, assigned, or otherwise redistributed to any other party.

7. Membership Pausing or Freezing: The membership is not permitted under any circumstances. The term and associated payments will run consecutively for the full duration.

8. Content Opt-out: You retain the right to opt out of sharing specific content with Us. However, the membership will remain active, and you are obligated to continue payments as per these Terms.

9. Content Rights: By entering this agreement:

   • You grant Us a perpetual, irrevocable, royalty-free license to use, reproduce, distribute, and display any content You provide in connection with the Empowered Mamas Platform on Railey Molinario's website and social media accounts.

   • We reserve the right to share and promote such content without any obligation to provide royalties or any other form of compensation.

10. Termination While this agreement is designed for a term until December 31, 2028, should there be any breach of these Terms, We reserve the right to terminate the agreement immediately.

11. Indemnification You shall indemnify, defend, and hold harmless Railey Molinario and the Empowered Mamas Platform from and against any and all claims, losses, damages, and expenses, including attorney's fees, arising out of or in connection with Your breach of these Terms or any actions taken or content provided by You.

12. Amendments These Terms may only be amended or modified in writing and must be signed by both parties.

13. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Railey Molinario's primary place of business is located.

14. Entire Agreement These Terms represent the entire agreement between You and Us and supersede all prior discussions, understandings, and agreements between the parties.

By agreeing to these Terms and Conditions, You acknowledge that you have read, understood, and agree to be bound by these Terms.
